Agreement Overview

This Hosted Telephony Service Agreement ("Agreement") is entered into by and between Brindley Data Services Limited, a company incorporated in the United Kingdom with its principal place of business at The Laurels 3 Berriedale Terraces, Grange-Over-Sands, Cumbria LA11 6ER ("We-Bo phone"), and the business entity completing the online sign-up process ("Customer").

1. Definitions

1.1. "Service" refers to the hosted telephony services provided by We-Bo phone, including but not limited to WebRTC-based voice communication services.

1.2. "Customer" refers to the business entity signing up for the Service.

1.3. "Agreement" refers to this Hosted Telephony Service Agreement, including any attachments or appendices.

2. Service Provision

2.1. We-Bo phone agrees to provide the Service to the Customer as per the terms outlined in this Agreement.

2.2. The Service is provided on an "as-is" basis and We-Bo phone makes no guarantees regarding the uptime or availability of the Service.

3. Service Term and Termination

3.1. This Agreement shall commence on the date the Customer completes the online sign-up process and shall continue on a month-to-month basis unless terminated by either party.

3.2. Either party may terminate this Agreement by providing 30 days' written notice to the other party.

3.3. We-Bo phone reserves the right to terminate the Service immediately if the Customer is found to be in violation of any terms of this Agreement.

4. Fees and Payment

4.1. The Customer agrees to pay the fees as specified during the sign-up process.

4.2. Payments are due monthly in advance. Failure to pay by the due date may result in suspension or termination of the Service.

5. Customer Obligations

5.1. The Customer agrees to use the Service in compliance with all applicable laws and regulations, including those set forth by Ofcom, the UK telecommunications regulator.

5.2. The Customer is responsible for maintaining the security of their account credentials and is liable for all activities conducted through their account.

5.3. The Customer shall ensure that their use of the Service does not violate Ofcom regulations or any other relevant telecommunications regulations in their country of operation.

6. Limitations of Liability

6.1. We-Bo phone shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Service.

6.2. We-Bo phone's total liability under this Agreement shall not exceed the total fees paid by the Customer in the preceding 12 months.

7. Data Protection

7.1. We-Bo phone shall process personal data in accordance with applicable data protection laws, including the UK GDPR.

7.2. The Customer consents to the processing of their personal data as described in We-Bo phone's Privacy Policy.

8. Confidentiality

8.1. Each party agrees to treat as confidential all information obtained from the other party that is marked as confidential or would reasonably be considered confidential.

8.2. This confidentiality obligation shall survive the termination of this Agreement.

9. Amendments

9.1. We-Bo phone reserves the right to amend this Agreement at any time. Notice of any amendments will be provided to the Customer via email or through the Service interface.

10. Governing Law

10.1. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

10.2. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Ofcom Compliance

11.1. The Customer agrees to comply with all applicable Ofcom regulations and guidelines in their use of the Service.

11.2. Failure to comply with Ofcom regulations may result in immediate termination of the Service by We-Bo phone.

12. Acceptance

By completing the online sign-up process, the Customer acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement, including the obligation to abide by Ofcom regulations.

This Agreement includes the necessary clauses to ensure compliance with Ofcom regulations and is designed for online acceptance or rejection by worldwide businesses. Adjustments may be necessary based on specific legal advice or business requirements.
